For a company, environmental risk shows up in places outside the factory gate: in a deal that needs due diligence, in a sustainability report that must be accurate, in a contract that should allocate liability, and in the question of what the board knew.
We advise companies, investors and lenders on the environmental side of transactions, disclosures and governance, and we help in-house teams handle regulators and litigation across their sites.

Is this your situation?
- You are buying a company, a plant or land and need to know the environmental risk
- You are a lender and the borrower has environmental approvals as security
- Your company publishes a BRSR or sustainability report
- A director or officer has been named in an environmental notice
- You run several sites and want one view of compliance
- You need contract terms that allocate environmental liability
What we do for companies
Due diligence
Review of consents, clearances, notices and contamination risk before a deal.
Contracts
Warranties, indemnities and conditions precedent for environmental issues.
Disclosure
Legal review of BRSR and sustainability claims.
Board advice
Briefings on liability and oversight of environmental risk.
Group compliance
A single register of permissions across sites and states.
Crisis response
Rapid response to incidents, closures and NGT orders.
Environmental due diligence
The aim is to find what could cost money or stop operations after closing: expired or missing consents, production beyond approved capacity, pending notices and NGT cases, environmental compensation demands, and contamination of the land. Approvals are often site- and entity-specific, so we also check whether they can be transferred and what the transfer process looks like.
Findings feed into the deal documents, as conditions to fix before closing, specific indemnities or a price adjustment.
Reporting and responsibility
SEBI requires the largest listed companies to publish a Business Responsibility and Sustainability Report, and some must obtain assurance on core indicators. Inaccurate environmental claims can create regulatory and reputational risk, and green claims in advertising are also regulated.
Environmental laws generally make the persons in charge of a company responsible for violations, unless they show they had no knowledge or used due diligence. Good internal reporting is therefore a protection for directors and senior managers, not just a compliance exercise.
| Risk | Mitigation |
|---|---|
| Missing or expired approvals | Diligence, conditions precedent |
| Historic contamination | Site assessment, indemnity, escrow |
| Pending NGT or board cases | Disclosure schedules, specific indemnity |
| Officer liability | Clear reporting lines and records |
| Green claims | Legal review before publication |

How we work
We are a litigation and advisory practice led by Advocate BK Singh, with offices in Dwarka (New Delhi) and Vaishali (Ghaziabad), working on environmental matters across India.
- Deadline first: we tell you the time limit before anything else.
- Regulator and tribunal: we handle the board stage and the NGT, so nothing is lost between them.
- Plain advice: what we think will happen, including when a case is not worth filing.
- Written fee terms: agreed stage by stage, never linked to the outcome.

Frequently Asked Questions
Are environmental approvals transferable when a business is sold?
Many can be transferred with the regulator's approval, but the process differs by approval and state. Plan for it in the deal timeline.
Can directors be personally liable?
Environmental laws can hold persons in charge of the company responsible. Independent and non-executive directors are usually treated differently, depending on the facts.
Which companies must file a BRSR?
SEBI requires the top listed companies by market capitalisation to file it. The thresholds are set by SEBI and have been extended in phases.
Do you do technical site assessments?
We coordinate with technical consultants for sampling and engineering, and handle the legal review ourselves.
Can you handle compliance for sites in several states?
Yes. We manage multi-site compliance and coordinate with each state board.
Can green claims in advertising be challenged?
Yes. Misleading environmental claims can attract action from consumer and advertising regulators.
